Many entrepreneurs are (rightfully) so busy building their business that legal issues may be placed on the back burner. However, numerous unforeseen pitfalls can occur if your company is not properly structured right from the beginning. A skilled and experienced startup attorney will be able to advise your startup and tailor advice to your particular situation to ensure that your startup is legally sound. In this presentation, Fenwick partner Michael Brown discusses the top 10 legal issues faced by startups, from selecting the right legal structure and protecting the company’s intellectual property, to proper documentation showing issuance of founder stock and necessary tax filings to structuring the first round of funding to set the stage for successful subsequent venture capital rounds.

Michael Brown concentrates his practice on strategic counseling to companies, ranging from newly formed startup teams to mature publicly traded corporations, and venture capital firms in a wide variety of corporate transactions, including mergers and acquisitions, initial and follow-on public offerings, venture capital financings, debt financings, and corporate reorganizations. In 2014, Michael was named among the top attorneys in the United States under the age of 40 by Law360. Michael was recently recognized as one of the emerging leaders in the legal industry in the Daily Journal’s annual “Top 20 Under 40” ranking. Michael was honored as a Rising Star by Super Lawyers in 2017, 2016 and 2015.

Founded in 2012, Startup UCLA’s mission is to help students and alumni develop as entrepreneurs.
